1. Not a Party / No Liability for Deals

LocalNIL is a neutral listings and connection platform. It is not a party to any agreement, arrangement, or transaction between a business and an athlete.LocalNIL has no liability for the terms, performance, or outcome of any deal made through the platform. All deals are made directly between the business and the athlete.

2. No Agency / No Representation

LocalNIL is not an athlete agent, athlete representative, or sports agent under any applicable law. LocalNIL does not negotiate on behalf of any athlete or business, does not provide legal or financial advice, and does not represent any party in any transaction. Nothing in these Terms creates an agency, employment, or fiduciary relationship between LocalNIL and any user.

3. User Responsibility for Compliance

Users are solely responsible for their own compliance with all applicable laws, rules, and regulations, including but not limited to:

NCAA NIL rules and any applicable school or conference policies
FTC disclosure requirements for sponsored content
Federal and state tax obligations
Any contracts or agreements entered into directly with other users
Any school-required NIL disclosure or registration

LocalNIL does not vet, verify, or guarantee compliance with any of the above.

4. Age Requirement — 18+

Athlete accounts are restricted to individuals who are 18 years of age or older. Age is verified at profile creation. Any athlete found to be under 18 will have their account suspended. Business users are responsible for ensuring they do not enter into NIL agreements with minors.

5. No Guarantee / No Vetting

LocalNIL does not guarantee the accuracy of any user-submitted information, including athlete profiles, follower counts, or business listings. LocalNILdoes not vet, verify, or endorse any user, offer, or deal. Users interact at their own risk.

6. User-Generated Content

Users are responsible for all content they post. LocalNIL may remove any content that violates these Terms or applicable law, at its sole discretion, with or without notice. By posting content, you grant LocalNIL a non-exclusive, royalty-free license to display that content on the platform.

7. Acceptable Use, Indemnity, Limitation of Liability, Arbitration

Acceptable Use: Users may not use the platform for any unlawful purpose, to harass other users, to post false or misleading information, or to circumvent any platform rules.

Indemnity: You agree to indemnify and hold harmless LocalNILfrom any claims arising from your use of the platform or your violation of these Terms.

Limitation of Liability: To the maximum extent permitted by law,LocalNIL's liability is limited to the amount you paid for the platform in the prior 30 days. LocalNIL is not liable for any indirect, incidental, or consequential damages.

Arbitration: Disputes will be resolved by binding arbitration. Details to be finalized by counsel.
